Moral, legal, or contractual obligation that binds a director to protect the secrecy or confidentiality of the information accessed through their duties. Consequently, deliberations within a board of directors are considered confidential until potentially disclosed by the syndicate of co-ownership. Typically, only the adopted resolutions are made public, excluding the preceding discussions that led to them.
